SUPREME COURT CONFIRMS THAT ETHICS COMMITTEES MAY DELEGATE INVESTIGATION TO EXTERNAL ADVISORS
When receiving complaints about violations of corporate Codes of Ethics, companies often raise the question of whether the body in charge of applying the Code (e.g., an Ethics Committee) may request advice or even delegate the investigation of the alleged facts to an external law firm.
Recently, the Supreme Court (Rol 80671-2023) held that an Ethics Committee may entrust the investigation and gathering of background information to an external law firm, as long as this does not imply substituting the work of the Committee, which will ultimately be in charge of resolving the complaint.
